Conflict with FX

Do you need to uninstall Window FX before installing WB5?

I don't think you need to uninstall it, just not run it.

I'm actually using it with WB5 on a rig which doesn't support per-pixel alpha and having no conflicts, even shadowing menus. I believe if you want to use the per-pixel transparency features in WB5, however, you should turn WFX off (until the compatible updage is released).
